1. Acceptance of Terms
These Terms & Conditions ("Terms") form a legally binding agreement between you ("you", "Merchant" or "User") and Paytric Technologies Pvt. Ltd. ("Paytric", "we", "us"), a company incorporated under the Companies Act, 2013, having its registered office at Gurugram, Haryana, India.
By creating an account, accessing, or using any Paytric product or service, you confirm that you have read, understood and agree to be bound by these Terms, together with our Privacy Policy and Refund & Cancellation Policy. If you do not agree, you must not use the Services.
2. About Our Services
Paytric provides payment facilitation and technology services, including:
- Online payment acceptance via UPI, credit/debit cards, net-banking and wallets through a payment gateway and aggregator arrangement with partner banks;
- Payment links, QR codes, invoicing and subscription/e-mandate tools;
- Payout and bulk-disbursement services to bank accounts and UPI IDs;
- Dashboards, analytics, settlement reports, APIs and developer tools.
Paytric is a technology service provider and payment facilitator. We are not a bank and do not issue payment instruments. Funds are handled through regulated partner banks and escrow/nodal accounts in accordance with RBI guidelines on Payment Aggregators.
3. Eligibility & Your Account
- You must be at least 18 years old and capable of entering a binding contract. Business accounts must be registered by an authorised signatory.
- You must complete KYC verification — including PAN, business proof and bank account validation — before accepting live payments. Activation is subject to our and our banking partners' approval and risk review.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at security@paytric.in of any unauthorised access.
- You must keep your account information accurate and up to date, and promptly inform us of changes to ownership, business model or banking details.
4. Merchant Obligations
As a Merchant, you agree to:
- Use the Services only for lawful sale of goods and services, and display clear pricing, refund and delivery policies to your customers;
- Deliver goods/services as promised and resolve customer complaints in a timely manner;
- Comply with all applicable laws including GST, consumer protection, FEMA (for cross-border), RBI and card-network rules;
- Not submit transactions on behalf of third parties, and not use the Services to process payments for businesses other than your own registered entity;
- Cooperate promptly with information or documentation requests from Paytric, our partners or regulators.
5. Prohibited Activities
You must not use the Services in connection with any activity that is illegal under Indian law or prohibited by our banking partners, including but not limited to:
- Money laundering, terrorism financing, or any transaction designed to disguise the source of funds;
- Sale of illegal goods/services, narcotics, banned weapons, counterfeit products or pirated content;
- Unlicensed gambling, betting, lottery or gaming involving wagering;
- Pyramid/MLM schemes, deceptive "get-rich-quick" schemes or fraudulent charities;
- Cash-out/self-payments intended to convert credit to cash, or circular transactions between your own accounts;
- Unregulated trading in securities, forex or cryptocurrencies;
- Excessive chargebacks, transaction laundering, or misuse of test/sandbox environments;
- Any attempt to reverse-engineer, overload, scrape or breach the security of the platform.
6. Fees & Payments
- Fees charged per transaction (MDR/platform fees) are shown on our Services page or in your individual agreement, and are exclusive of GST, which is charged additionally at prevailing rates.
- Fees are deducted at source from settlements unless otherwise agreed in writing.
- We may revise fees with 30 days' prior notice by email or dashboard announcement. Continued use after the effective date constitutes acceptance.
- Invoices for fees and GST are available monthly on your dashboard in compliance with GST law.
7. Settlements
- Net settlements (transaction value minus fees, refunds, chargebacks and any reserves) are credited to the bank account registered during KYC, per your plan's settlement schedule (standard T+1 or Instant).
- Settlement timelines may be extended for new accounts, unusual volumes, suspected fraud, or upon directions from banks, networks, RBI or law enforcement.
- We may maintain a rolling reserve for higher-risk merchants, released per the reserve schedule communicated to you.
- You must reconcile settlements against your records. Errors must be reported within 30 days of the settlement date; after that period, transactions are deemed accepted.
8. Chargebacks, Refunds & Fraud
- Refunds are processed per our Refund Policy and are always returned to the customer's original payment method.
- You are liable for all chargebacks on your transactions together with applicable chargeback fees, and must respond with evidence within notified timelines.
- Where fraud, collusion or abuse is reasonably suspected, we may hold settlements, reverse credits, or report the matter to authorities, including FIU-IND.
9. Intellectual Property
All rights in the Paytric platform — including the website, APIs, software, brand name, logo and content — are owned by or licensed to Paytric. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services solely for your internal business purposes. You may not copy, modify, distribute, sell or lease any part of the platform, or use our marks without prior written consent.
10. Privacy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use and protect personal data in compliance with the Digital Personal Data Protection Act, 2023 and other applicable laws.
11. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Paytric disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or that success rates, settlement times or uptime figures will be achieved in every instance.
12. Limitation of Liability
To the fullest extent permitted by law:
- Paytric shall not be liable for indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, lost data or business interruption;
- Our aggregate liability for all claims arising out of or relating to the Services shall not exceed the fees actually paid by you to Paytric in the 3 months preceding the event giving rise to the claim, or the transaction amount in dispute, whichever is lower;
- We are not responsible for failures attributable to banks, NPCI, card networks, telecom providers or other third parties outside our reasonable control.
13. Indemnification
You agree to indemnify, defend and hold harmless Paytric, its directors, employees and partners from and against all claims, losses, liabilities, damages, fines, penalties and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any law or third-party right; (c) transactions processed through your account; or (d) disputes between you and your customers.
14. Suspension & Termination
- You may close your account at any time as described in our Cancellation Policy.
- We may suspend or terminate your access immediately for breach of these Terms, suspected fraud, excessive chargebacks, or as required by law, our banking partners or regulators.
- Upon termination, pending settlements are released after resolution of outstanding disputes, chargeback windows and applicable holds. Provisions that by their nature survive (liability, indemnity, IP, governing law) continue to apply.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any dispute shall first be attempted to be resolved amicably within 30 days of written notice. Failing that, disputes shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Gurugram, Haryana, conducted in English. Subject to arbitration, courts at New Delhi shall have exclusive jurisdiction.
16. Changes to These Terms
We may modify these Terms from time to time. Material changes will be notified via email or dashboard notice at least 15 days before taking effect. The latest version is always available on this page, and your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
